Distance Sales Agreement

1. Parties and Subject Matter

This Distance Sales Agreement ("Agreement") is established electronically, pursuant to Law No. 6502 on the Protection of Consumers and the Distance Contracts Regulation, between the SELLER/PROVIDER and the BUYER identified below.

1.1. Seller / Provider

The seller of the service covered by this Agreement is the organizer of the relevant event. The organizer's trade name, full address, tax office and tax number / national ID, MERSIS number, phone and e-mail are shown to the BUYER before the order is completed, in the Pre-Contractual Information Form and on the event page.

1.2. Intermediary Service Provider

The platform operator, acting as an e-commerce intermediary service provider within the meaning of Law No. 6563 on the Regulation of Electronic Commerce:

1.3. Buyer

The natural or legal person who creates a membership on the platform and places an order. The BUYER's name, e-mail, phone and billing information are those declared by the BUYER at the time of order. The BUYER is responsible for the accuracy of the information declared.

2. Essential Characteristics and Price of the Service

The service covered by this Agreement consists of the event admission ticket (pass), workshop participation, accommodation package and other event-related services selected by the BUYER.

The type, quantity and unit price of the service, any discount amount, the total price including all taxes, the currency and the validity period are clearly shown to the BUYER electronically before the order, in the Pre-Contractual Information Form and in the order summary. This information forms an integral part of this Agreement.

Unless stated otherwise, listed prices are inclusive of all taxes. Where an event-specific service fee or transaction fee applies, it is shown as a separate line item in the order summary.

3. Payment, Collection of the Price and Documents

Payment is made by credit or debit card, with 3D Secure verification, through the member merchant (virtual POS) infrastructure Bailatix holds with its contracted bank or payment institution. The BUYER's card details are never seen, processed or stored by Bailatix; they are transmitted directly to the payment infrastructure.

The ticket price is collected by Bailatix on behalf of the selling organizer, in its capacity as that organizer's commercial agent. The ticket price collected is not Bailatix's revenue; it is tracked separately as an amount collected for the organizer's account and is transferred to the organizer after the event has taken place.

In consideration of its intermediation service, Bailatix collects a service fee from the BUYER, added on top of the ticket price. The service fee is shown as a separate line in the order summary and in the Pre-Contractual Information Form before the order is confirmed.

If payment fails, is cancelled, or is declined by the bank for any reason, no obligation arises for the seller to perform the service.

4. Performance and Delivery of the Service

Once payment is confirmed, the purchased ticket/admission right is issued as an electronic ticket (e-ticket) in the BUYER's membership account and sent to the e-mail address declared by the BUYER. Delivery of the e-ticket is deemed complete upon this issuance; no physical delivery is made.

The QR code on the e-ticket is single-use. The BUYER is responsible for any consequences arising from sharing, duplicating or transferring the ticket to third parties without authorization.

The event is performed by the organizer at the date, time and venue stated on the event page. The content, program, roster of artists/instructors and venue layout are the organizer's responsibility.

5. Right of Withdrawal and Its Exception

Pursuant to Article 15, paragraph 1, subparagraph (g) of the Distance Contracts Regulation, consumers have no right of withdrawal in contracts for accommodation, goods transport, car rental, catering, and leisure activities that must be performed on a specific date or period.

Event tickets, festival/workshop admission rights and event-related accommodation services sold through the platform fall within this scope; accordingly the BUYER cannot exercise a 14-day right of withdrawal.

The BUYER declares that they have been clearly informed of this before completing the order and that they have read and accepted this clause.

The absence of a right of withdrawal does not prevent the BUYER from relying on the cancellation/refund conditions set out in Section 6 below, or on the right to a refund if the event is cancelled.

6. Cancellation, Refunds and Non-Performance of the Event

Cancellation and refund conditions are determined per event by the organizer and announced on the event page. For details, see the Cancellation, Refund and Withdrawal Policy .

If the event is cancelled: Where the organizer cancels the event, or it cannot take place due to force majeure, both the ticket price and the service fee paid by the BUYER are refunded. Since the price is collected by Bailatix, the refund is made by Bailatix to the card or account used for payment; the refund is funded by the selling organizer and is set off against that organizer's settlement. The BUYER is not required to direct the refund request to the organizer. Bank-dependent posting times are outside Bailatix's control.

If the event is postponed: If the event date changes, existing tickets remain valid for the new date. If the BUYER does not accept the new date, the refund request is evaluated according to the conditions announced by the organizer.

Instructor and program changes: The ticket covered by this Agreement is sold not for the stage performance of a single artist, as with a concert ticket, but for the festival/workshop as a whole (classes, parties, social dancing and the overall program flow). As long as the event takes place, changes to the announced instructor, DJ or performer roster, and changes to the class, stage or time schedule, do not constitute cancellation and do not by themselves give rise to a refund or discount. The organizer will, to the extent possible, provide an equivalent substitute and announce the change.

Defective performance: The non-occurrence of a substantial part of the announced program is considered a material change. In that case the BUYER may assert their rights under Law No. 6502 against the selling organizer.

7. Position and Liability of the Intermediary Service Provider

Bailatix is not a party to this Agreement. Bailatix's role is limited to acting as an intermediary service provider bringing the selling organizer and the BUYER together electronically, and as the commercial agent collecting the price on the organizer's behalf. The organization, content, quality, cancellation and performance of the event are the organizer's responsibility.

Nevertheless, Bailatix is responsible under applicable legislation for the following matters:

• Joint and several liability with the seller, under the Distance Contracts Regulation, for the provision, confirmation and proof of pre-contractual information to the BUYER,
• The obligation, under Law No. 6563, to promptly remove unlawful content once made aware of it,
• Publishing the seller's identity and contact information accurately and accessibly on the platform,
• Coordinating the forwarding of the BUYER's complaints and requests concerning the seller to that seller.

The BUYER may direct withdrawal, cancellation and refund requests either to the selling organizer or to Bailatix. Bailatix forwards any requests it receives to the seller without delay and supports the BUYER in following up the process.

8. Protection of Personal Data

The BUYER's personal data is processed under Law No. 6698 on the Protection of Personal Data and the Privacy Policy.

For the purpose of performing the order, the BUYER's name, e-mail, phone and attendee information is shared with the selling organizer. This sharing does not require explicit consent, as it is directly related to the establishment and performance of the contract under Article 5/2-(c) of the KVKK. The organizer is an independent data controller with respect to the data transferred to it.

9. Evidentiary Agreement and Dispute Resolution

The parties agree that, in any dispute arising from this Agreement, the platform's electronic records, system logs, transaction logs and e-mail correspondence shall constitute evidence within the meaning of Law No. 6100 on Civil Procedure.

Within the monetary limits announced annually by the Ministry of Trade, the Consumer Arbitration Committees of the BUYER's place of residence or of the place where the transaction occurred have jurisdiction over disputes; the Consumer Courts have jurisdiction over disputes exceeding those limits.

This Agreement is governed by Turkish law.

10. Effectiveness

The BUYER acknowledges that, before completing the order, they have read and understood all the terms of this Agreement and the Pre-Contractual Information Form, and have approved them electronically. The Agreement enters into force upon confirmation of the order.

A copy of the Agreement is sent to the BUYER's e-mail address together with the order confirmation, and can always be viewed from the order details in the membership account.
